Seller Terms & Conditions

This agreement sets out the rules, responsibilities, and rights of every seller on the dapxop marketplace. By creating a seller account, you agree to be bound by these terms.

1. Who These Terms Are Between

These Seller Terms & Conditions (the “Terms”) are a binding agreement between you (the “Seller”, “you”) and dapxop (operated by dapxop Technologies (Private) Limited, registered in Pakistan — “dapxop”, “we”, “us”). They apply to every plan (Free, Growth and Pro) and govern your use of the dapxop marketplace, seller dashboard, and related services (the “Platform”). By ticking the agreement box and submitting your application, you confirm you have read, understood, and accept these Terms in full.

2. Eligibility, Your Account & Identity

  • You must be at least 18 years old and legally able to enter into contracts in Pakistan.
  • All information you give us — your name, father's name, date of birth, contact details, pickup address, store details, payout and tax details — must be true, accurate, current, complete and your own, and you must keep it updated. Providing false information, impersonating another person, or using another person's or business's identity is a serious breach, grounds for immediate termination and reporting, and your sole liability.
  • You are responsible for everything that happens under your account and for keeping your password secure. You may not share, sell or transfer your seller account.
  • dapxop may verify your identity and business, and may decline, suspend, or close an application or account at its discretion, including where information cannot be verified.
  • One person/business may operate only one seller account unless we agree otherwise in writing.

3. Your Products & Listings — Your Sole Responsibility

  • You are solely responsible for the products you list and sell — their quality, safety, legality, accuracy of description, photographs, pricing, stock and compliance with all applicable laws and standards.
  • You alone are responsible for everything you publish about a product — its title, description, specifications, materials, dimensions, condition, origin, brand, authenticity, photographs, and any claim or promise you make (express or implied). You warrant that every such detail is true, accurate, complete and not misleading.
  • If a product differs from how you described it, or a buyer or any third party suffers loss because of a statement, omission, exaggeration or misrepresentation in your listing, that is your sole responsibility and liability — dapxop bears none.
  • Photographs must be of the actual item you will ship, and you must own or have the right to use all images and content you upload.
  • You must have full legal right and title to sell every item, and the items must be genuine, lawfully sourced, and not infringe anyone's intellectual property, privacy or other rights.
  • You set your own prices. Prices shown to buyers must be honoured, and must not be deceptive or falsely represent discounts, savings or recommended/market prices.

4. Authenticity, Branded & Resold Goods

Where you list goods that carry a third-party brand, trademark, logo or design — including items you resell or source from a factory, outlet, wholesaler or other supplier — you represent and warrant that: (i) you have the full legal right to sell those specific goods and to use that brand name, logo and images in your listing; (ii) the goods are genuine and lawfully sourced, and are not counterfeit, replica, stolen, smuggled, or sold in breach of any distribution, licensing or exhaustion-of-rights restriction; and (iii) your use of the brand does not amount to passing-off, false endorsement, or trademark/copyright infringement under the Trade Marks Ordinance, 2001, the Copyright Ordinance, 1962, or the Pakistan Penal Code, 1860. Any claim, dispute, fine or liability arising from the brand, authenticity, sourcing or sale of such goods rests entirely with you. dapxop neither verifies nor endorses the authenticity, ownership or sourcing of any item.

5. Product Safety, Defects, Injury & Recalls

  • For the purposes of liability, you are the producer, importer and supplier of every item you sell, and you are solely responsible for its safety.
  • If any product causes injury, illness, death, or damage to property or data, you alone are liable — dapxop, which is not the seller, manufacturer or importer, bears no liability whatsoever, and you indemnify dapxop in full against any such claim.
  • If any product you sold is recalled, withdrawn, or found unsafe or non-compliant, you are responsible for managing the recall, notifying affected buyers, bearing all costs, and reimbursing dapxop for any cost or loss it incurs as a result.

6. Regulated & Standards-Controlled Goods

For any goods subject to regulation or standards — including food, cosmetics, health, supplement or drug-related items (the Drug Regulatory Authority of Pakistan (DRAP) and provincial food authorities), and electrical, toy, textile or other standards-controlled goods (the Pakistan Standards and Quality Control Authority (PSQCA)) — you warrant that you hold every required licence, approval and registration, that the goods meet all applicable safety and labelling standards, and that they are correctly and truthfully labelled. All liability for non-compliance or resulting harm is yours alone.

7. Prohibited Items, Conduct & Off-Platform Dealings

You may not list, sell or promote anything illegal, unsafe, restricted, or that you are not entitled to sell, including (without limitation):

  • Counterfeit, replica, stolen, smuggled or IP-infringing goods.
  • Weapons, ammunition, explosives, drugs, controlled substances, tobacco/vapes, or other regulated/age-restricted items prohibited by law.
  • Hazardous, recalled, expired, or unsafe products; items that breach Pakistani consumer-protection, food, health, or import/export laws.
  • Adult/obscene content, anything that is hateful, defamatory, or that endangers minors.
  • Any other item that is prohibited or restricted under any law of Pakistan — including import/export, customs, consumer-safety, and sector-specific regulations. You warrant that every item you list is legal to sell, import, possess and deliver in Pakistan.

You also agree not to manipulate the Platform: no fake orders, fake reviews, review manipulation, fee avoidance, harassing buyers or staff, or circumventing security or pricing controls.

Off-platform dealings: any attempt to take a transaction, payment or communication off the Platform is a breach of these Terms and is entirely at your own risk. dapxop is not responsible for, and accepts no liability for, any off-platform dealing, payment, loss, scam or fraud — whether by you or against you.

Selling prohibited, counterfeit, unsafe or unlawful items may also be a criminal offence under Pakistani law — including the Pakistan Penal Code, 1860, the Trade Marks Ordinance, 2001, the Prevention of Electronic Crimes Act, 2016, and DRAP/PSQCA regulations. You bear sole responsibility for any such breach and its consequences.

8. Orders & Fulfilment

  • You must keep stock and availability accurate, accept and process valid orders promptly, and dispatch within the handling time you state.
  • You are responsible for packaging items safely and for handing them to the courier/delivery in good condition.
  • You must communicate with buyers professionally and only through the Platform's messaging tools.
  • Excessive cancellations, late dispatch, out-of-stock orders, or poor fulfilment may lead to ranking penalties, guardrails, suspension or removal.

9. Plans, Fees & Commission

  • dapxop charges a commission on sales and, for paid plans, a subscription fee. The applicable commission rate and plan price are shown to you in the dashboard and at checkout/sign-up, and form part of these Terms.
  • Commission is calculated on the product value of your items (it is not charged on platform, delivery or cash-on-delivery handling fees). The rate is locked per order at the point of sale.
  • dapxop may change commission rates, plan prices and fees from time to time. Changes are communicated through the Platform and apply to future orders/renewals — they do not re-price orders already placed.
  • You are responsible for all taxes and duties arising from your sales — see “Taxes & Duties” below.

10. Payments & Payouts

  • Your earnings are your sales value less dapxop's commission, refunds, chargebacks, and any amounts you owe us.
  • You must provide accurate payout details. You are responsible for the consequences of incorrect details you supply.
  • dapxop may hold, delay, set off or reverse payouts where there is a dispute, suspected fraud, a policy breach, a pending refund, or where required by law. New sellers may be subject to a holding period and starter limits until verified.
  • Revenue from an order is only finally earned once it is delivered and outside the buyer-protection/dispute window.

11. Returns, Refunds, Disputes, Warranties & After-Sales

  • dapxop operates buyer protection. You agree to honour valid returns/refunds for items that are not as described, defective, damaged, or not delivered.
  • Where a dispute is opened, you must respond within the time we specify and provide evidence. dapxop may mediate and make a reasonable final decision, including issuing a full or partial refund.
  • If a refund is issued, the corresponding amount (and commission) is reversed/clawed back from your balance. You authorise dapxop to deduct refunded amounts and related costs from your earnings.
  • Any warranty, guarantee, replacement, repair or after-sales promise you make to a buyer is your own obligation, not dapxop's. dapxop is not a party to it and is not liable if you fail to honour it. You will satisfy such promises at your own cost and indemnify dapxop against related claims.

12. Intellectual Property, Your Content & Licence

You keep ownership of your brand and content. You grant dapxop a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, adapt (e.g. resize/optimise) and promote your store name, listings, images and content for the purpose of operating, marketing and improving the Platform — including in search, ads, social media and partner channels. You confirm you have all rights needed to grant this licence.

You warrant that you own or are licensed to use all content you upload — images, text, video, audio, logos and brand assets — and that it infringes no copyright, trademark, design, personality, privacy or other right, and is not defamatory, hateful or unlawful. You are solely liable for, and indemnify dapxop against, any claim arising from your content.

13. Your Promises (Representations & Warranties)

You represent and warrant that: you have the right and authority to sell every item; your products are genuine, safe, lawful and accurately described; your listings and conduct comply with all applicable laws (including consumer-protection, e-commerce, product-safety and data laws); and your use of the Platform does not infringe any third-party rights.

14. Compliance with Pakistani Laws & Regulations

You are responsible for operating your store in full compliance with all applicable laws and regulations of Pakistan, as amended from time to time, including (without limitation):

  • the Electronic Transactions Ordinance, 2002 and the Prevention of Electronic Crimes Act, 2016 (PECA), governing electronic commerce, records, signatures and online conduct;
  • applicable federal and provincial consumer-protection laws (including the relevant provincial Consumer Protection Acts) on fair dealing, accurate description, warranties, and returns;
  • the Income Tax Ordinance, 2001, the Sales Tax Act, 1990, and the relevant provincial revenue laws;
  • the Trade Marks Ordinance, 2001, the Copyright Ordinance, 1962, the Patents Ordinance, 2000 and related intellectual-property laws;
  • the Pakistan Penal Code, 1860 (including provisions on cheating, counterfeiting and fraud);
  • trade, import/export and customs laws, including the Customs Act, 1969 and the Imports and Exports (Control) Act, 1950, and any related prohibitions or restrictions on goods;
  • product-safety, labelling and standards requirements, including those of the PSQCA, and — for any regulated goods such as food, cosmetics, health or drug-related items — DRAP and the relevant provincial food authorities, together with any required licences;
  • anti-money-laundering and foreign-exchange rules, including the Anti-Money Laundering Act, 2010 and applicable State Bank of Pakistan regulations; and
  • all applicable data-protection and privacy obligations, including any Personal Data Protection legislation as and when it comes into force.

You are responsible for obtaining and maintaining any licence, registration or permit your products or business require under Pakistani law. dapxop does not provide legal, tax or regulatory advice; your compliance is your own responsibility, and any liability, fine or penalty arising from your non-compliance is yours alone.

15. Taxes & Duties — Your Sole Responsibility

All taxes, duties and levies on your sales — income tax, sales tax/GST, customs/import duties and any provincial taxes — are solely your responsibility. You are responsible for your own registration, returns and payment to the Federal Board of Revenue (FBR) and provincial authorities. dapxop is not your tax agent or adviser. You indemnify dapxop against any tax, duty, penalty, interest or cost assessed on, or claimed from, dapxop as a result of your sales, sourcing, or failure to register, file or pay. Where the law requires, dapxop may collect, withhold, deposit and/or report amounts to the relevant authorities.

16. Indemnity

You agree to indemnify, defend and hold harmless dapxop, its owners, directors, employees and partners from and against any claims, demands, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or related to: your products; your listings, content or conduct; your breach of these Terms or any law; any tax you owe; any dispute between you and a buyer or third party; or any harm caused by an item you sold.

This expressly includes any claim that a product is counterfeit, infringing, unsafe, illegal or not as described; any trademark, copyright, design, passing-off or false-advertising claim by a brand owner or third party; any consumer-protection claim by a buyer; and any regulatory action, fine or penalty arising from your products, sourcing or listings — including dapxop's reasonable legal costs in defending the same.

Your indemnities and responsibilities under these Terms are not subject to any limitation or cap and survive the closure or termination of your account.

17. dapxop Is a Marketplace, Not the Seller — No Verification, No Endorsement, Limitation of Liability

dapxop provides a marketplace and tools that connect sellers and buyers. dapxop is not the seller, manufacturer, importer or supplier of your products and is not a party to the sale contract between you and the buyer. The contract for each item is between you and the buyer; you are responsible for it.

dapxop does not pre-vet, inspect, authenticate or approve listings or products before they go live, and does not verify any seller's right to sell, the genuineness of goods, or the accuracy of any description. dapxop relies entirely on your representations. The display of your product on the Platform is not an endorsement, certification or guarantee by dapxop of its quality, legality, authenticity or fitness.

You are responsible for arranging any product-liability, business or other insurance appropriate to your products and trade. dapxop provides none and is not your insurer.

To the maximum extent permitted by law, the Platform is provided “as is” and “as available” with no guarantee of sales, revenue, traffic, uptime or uninterrupted service. dapxop is not liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, sales, goodwill or data. dapxop's total aggregate liability to you for any claim is limited to the total commission and subscription fees you actually paid to dapxop in the three (3) months immediately before the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

18. Suspension, Removal, Notice-and-Takedown & Termination

  • dapxop may warn, apply strikes/guardrails, restrict, suspend or terminate your account and remove listings — with or without notice — for breach of these Terms or any policy, suspected fraud or illegality, poor performance, or to protect buyers, other sellers or the Platform.
  • Notice-and-takedown: if dapxop receives a credible complaint or has reasonable grounds to suspect that a listing infringes intellectual-property rights, is counterfeit, is misdescribed, or is otherwise unlawful, dapxop may remove the listing, withhold related payouts, and suspend or terminate your account immediately and without prior notice, at its sole discretion and without any liability to you. You are responsible for resolving the underlying complaint directly with the complainant, and will promptly remove or correct any listing dapxop flags and provide proof of authenticity or sourcing on request.
  • You may stop selling at any time. On termination you must still fulfil or properly resolve open orders, and any obligations, refunds, indemnities and liabilities accrued before termination survive.
  • dapxop may withhold payouts pending resolution of open orders, disputes or amounts owed.

19. Cooperation with Law, Disclosure & Reporting

Where dapxop reasonably believes the law requires it, or to address suspected illegality, counterfeiting, fraud, money-laundering or harm, dapxop may remove listings, withhold funds, suspend or terminate your account, and disclose your information, listings and records to courts, regulators (including the FBR, FIA, DRAP and PSQCA), law enforcement and affected rights-holders — without liability to you.

20. Data & Buyer Information

You will handle any buyer information you receive (such as a delivery address) only to fulfil the order, keep it confidential and secure, and comply with applicable data-protection law. You must not use buyer data for unsolicited marketing, sell or share it, or contact buyers off-platform for purposes unrelated to their order.

Any misuse, loss or breach of buyer information by you, your staff or your systems is your sole liability. You will comply with all applicable data-protection law (including any Personal Data Protection legislation as it comes into force) and indemnify dapxop against any claim, regulatory action or penalty arising from your handling of buyer data.

21. Relationship of the Parties

You are an independent business operating on the Platform. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between you and dapxop. You have no authority to bind dapxop.

22. Changes, Governing Law & General

  • dapxop may update these Terms from time to time. Material changes will be notified through the Platform; continuing to sell after changes take effect means you accept the updated Terms.
  • These Terms, and any dispute arising out of or relating to them or your use of the Platform, are governed by and construed in accordance with the laws of Pakistan. This Agreement is concluded electronically and is valid and enforceable under the Electronic Transactions Ordinance, 2002.
  • The parties will first try to resolve any dispute amicably. Failing that, the dispute may be referred to arbitration in Pakistan under the Arbitration Act, 1940 (or any successor law); and the courts of Pakistan otherwise have exclusive jurisdiction.
  • If any provision is found unenforceable, the rest remains in force. dapxop may assign these Terms; you may not without our consent. Our failure to enforce a right is not a waiver of it.
